The agreement between you and Ryzome LLC. Ryzome is a way to keep a promise in front of your friends, and it is not a medical device or a source of medical advice.
These terms of service are an agreement between you and Ryzome LLC, a Texas limited liability company, Texas Secretary of State file number 806706410. In these terms "Ryzome", "we", and "us" mean Ryzome LLC, and "the service" means the Ryzome app for iPhone and Android, this website, and the systems behind them.
Our privacy policy is part of this agreement and describes what we do with your data. If the two documents ever conflict on a question of data handling, the privacy policy governs.
By creating an account or using the service, you agree to these terms. If you do not agree with them, do not use the service. If you are agreeing on behalf of an organisation, you are confirming that you have authority to bind it.
You must be at least 13 years old to use Ryzome, and older if your country sets a higher age for agreeing to terms like these or for consenting to the processing of health data on your own behalf. You must not use the service if we have previously terminated your account, or if a law that applies to you prohibits it.
Ryzome reads a fitness figure your device has already recorded, adds it up over a period, and shows the result to the other members of a ring you chose to join. That is all it does.
Ryzome is not a medical device and does not provide medical advice. It is not intended to diagnose, treat, cure, or prevent any disease or condition, and nothing in it is a substitute for professional judgement. Talk to a qualified clinician before starting or changing an exercise, sleep, or diet regime, and especially if you have a condition that could be affected by one.
The figures the app shows come from your phone and your wearables. We do not measure them and we cannot guarantee that they are accurate, complete, or delivered on time. Treat them as an indication and not as a measurement you would rely on for anything that matters medically. Do not use the service in a way that puts you in danger, and use your own judgement about your own body. Competing with your friends is not a reason to keep going when you should stop.
If you are having a medical emergency, contact your local emergency service. Ryzome is not monitored and will not notice.
You are responsible for your account and for keeping your sign-in credentials to yourself. Tell us promptly at [email protected] if you believe somebody else has access to it. Give us accurate information when you sign up, keep it current, and do not impersonate anybody else or pick a display name designed to mislead the people in your rings.
You may delete your account from inside the app, and section 10 of the privacy policy explains exactly what that removes. There is one precondition: if you own a ring that other people are still in, we will not delete your account until you have handed that ring to another member, because deleting it would take the ring and every other member's recorded wins with it. The app names the rings that are in the way.
The service works by showing your number to other people. When you join a ring, every member of that ring can see your display name, your total for the ring's chosen metric, the days you reached the ring's target, and your standing. Joining a ring is how you consent to that, and there is no private mode. If you do not want a number seen by a particular set of people, do not join a ring with them on that metric. You may leave a ring at any time.
Rings are joined with an invite code. Do not post a code anywhere public, and do not share one for a ring that is not yours to share. We are not responsible for who a member of your ring passes a code to, so treat your ring as being as private as the least careful person in it.
Behave decently towards the other people in your rings. Do not use the service to harass, bully, threaten, or shame anybody, and do not use somebody's health figures against them. We may remove an account that does.
The app reads health data only after you grant permission, and only the categories described in the privacy policy. You can withdraw that permission at any time in your device or in the relevant service's own settings, as section 4 of the privacy policy sets out. Withdrawing it will stop the app receiving new figures, and parts of the service will stop working as a result, which is expected rather than a fault.
You confirm that any health data you connect to Ryzome is your own, and that you are not connecting somebody else's.
Ryzome relies on other companies: the platform your device runs, the health platform or wearable service a figure comes from, and the providers listed in our privacy policy. Their terms and their privacy policies apply to their own parts of the arrangement, and we do not control them. If one of them changes what it offers or withdraws access, a feature of Ryzome may change or stop working, and that is outside our control.

The service, including the app, this website, the Ryzome name and logo, and everything we have written and designed for them, belongs to Ryzome LLC and is protected by intellectual property law. We grant you a personal, revocable, non-exclusive, non-transferable licence to use the app on devices you own or control, for your own non-commercial use, in line with these terms. Nothing else is granted, and all rights we have not expressly given you we keep.
Your health figures and your display name stay yours. You grant us only the licence we need to run the service: to store your data, compute totals from it, and show the results to the members of your rings as described above. We claim no ownership of it.
If you send us an idea or a suggestion, we may use it without owing you anything and without keeping it confidential. Please do not send us anything you want to keep or be paid for.
If we introduce paid features, we will state the price and the terms clearly before you are charged, and we will not begin charging for something you already have without telling you first. Any purchase made through an app store is also subject to that store's own terms, and refunds for such purchases are handled by the store rather than by us.
Ryzome is a new product under active development. Early versions may be incomplete, may contain faults, and may lose data. We may add, change, or remove features, and we may suspend the service for maintenance. We will try to give notice of anything significant, but we may have to act without it.
We do not promise that the service will be available without interruption, and we do not promise to keep it running forever. If we discontinue it, we will give you reasonable notice and a way to export your data first.
You may stop using the service at any time, and delete your account as section 5 describes. We may suspend or terminate your account if you break these terms, if we are required to by law, or if your use puts the service or other users at risk. Where circumstances allow, we will tell you why and give you a chance to put it right. Sections that by their nature should survive termination will survive it, including sections 10, 15, 16, 17, and 18.
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and we do not warrant that the service will be uninterrupted, secure, error-free, or that any figure it displays will be accurate.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent that law permits, and nothing in these terms limits any right you have that cannot lawfully be limited.
To the fullest extent permitted by law, Ryzome LLC and its members will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or anticipated savings, arising out of or relating to your use of the service, however caused and on any theory of liability.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the service will not exceed the greater of the amount you have paid us in the twelve months before the claim arose, or one hundred United States dollars.
Nothing in this section excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.
You agree to indemnify and hold harmless Ryzome LLC and its members from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your breach of these terms, your misuse of the service, or your violation of any law or of anybody else's rights.
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising out of or relating to these terms or the service.
If you are a consumer resident in a jurisdiction whose law entitles you to bring proceedings locally or to the protection of its mandatory consumer law, nothing in this section takes that right away from you.
Where you obtain the app from Apple's App Store, the following applies and prevails over anything inconsistent with it elsewhere in these terms:
If a provision of these terms is found unenforceable, the rest continues in effect and the provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor to our business. These terms, together with the privacy policy, are the entire agreement between us about the service.
We may update these terms. If a change is material we will give notice in the app or by email before it takes effect, and continuing to use the service after that date means you accept the new version. If you do not accept it, delete your account.
